1. Acceptance of Terms

Welcome to Probfly IT. By accessing our website probfly.com or engaging our digital marketing, web development, or cybersecurity services, you (“Client”) agree to be bound by these Terms & Conditions and the laws of the People’s Republic of Bangladesh.

If you do not agree with any part of these terms, please do not use our website or services.

2. Services Offered

Probfly IT provides a 360° suite of digital services including but not limited to:

• Digital marketing (SEO, social media marketing, paid ads, influencer marketing)
• Web design, web development, and app development
• Social media cybersecurity — recovery of hacked, locked, or disabled accounts, copyright issue resolution, and brand protection
• Graphic design, video production, motion graphics, and animation
• PR, TV commercials, and media outreach
• Verification assistance, chatbot development, and WhatsApp business solutions

The specific scope of work for each engagement is defined in a separate proposal, service agreement, or invoice.

3. Service Agreement & Project Commencement

Project work officially begins only after:

• The Client confirms the agreed scope in writing (email confirmation is accepted)
• The agreed advance payment or subscription fee is received by Probfly IT
• All required brand assets, login credentials (where applicable), and information are provided

All quotations are valid for 15 days from the date of issue unless otherwise specified.

4. Payment Terms

Unless otherwise agreed in writing, our standard payment terms are:

• Project-based work: 50% advance to commence, 50% upon completion before handover
• Monthly retainers / subscriptions: Payable in advance at the start of each billing cycle
• Emergency / urgent services (e.g., account recovery): Full advance payment
• Currency: Bangladeshi Taka (৳ BDT) for local clients; USD or other major currencies for international clients
• Accepted payment methods: bKash, Nagad, Rocket, bank transfer, Visa/Mastercard, PayPal (international), and other international payment gateways
• Late payments: Invoices unpaid 7 days past due may incur late fees and result in service suspension
• Taxes: VAT and applicable taxes are charged per Bangladesh NBR regulations

5. Subscription Plans

Probfly IT offers subscription-based service plans across several categories. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You can cancel your subscription at any time after the first contract period ends, with notice provided as outlined in your service agreement.

6. Client Responsibilities

• Provide accurate, complete information about your business and brand
• Grant timely access to required platforms (Meta Business Manager, Google Ads, website CMS, etc.) when needed
• Provide feedback and approvals within agreed timelines (typically 3 business days)
• Ensure all materials supplied to Probfly IT do not infringe on third-party copyrights or trademarks
• Make payments as per the agreed schedule
• For account recovery services: provide accurate identity verification documents as required by the platform

Delays caused by the Client may extend project timelines and are not the responsibility of Probfly IT.

7. Revisions & Scope Changes

Each project includes a defined number of revision rounds, as specified in the proposal. Revisions or additional work beyond the original scope will be quoted separately and require Client approval before execution.

While we apply industry best practices and our full expertise to every campaign, digital marketing results depend on many external factors — market conditions, platform algorithms, competitor activity, product-market fit, and ad budget. Probfly IT does not guarantee specific results such as exact ranking positions, sales numbers, follower counts, or engagement rates. We commit to honest effort, transparent reporting, and continuous optimization.

10. Intellectual Property

Upon full payment, ownership of final deliverables (custom designs, copy, websites) transfers to the Client. However:

• Probfly IT retains the right to display completed work in our portfolio, case studies, and marketing materials (unless covered by NDA)
• Working files, source files, and unused concepts remain the property of Probfly IT unless specifically purchased
• Third-party assets (stock images, fonts, plugins, themes) used in projects are subject to their own licenses
• All content on probfly.com is the property of Probfly IT and protected by copyright law

11. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. We routinely handle sensitive data (account credentials, business plans, personal information) with strict confidentiality. A separate NDA is available upon request.

12. Termination

Either party may terminate the engagement with 30 days’ written notice for retainer agreements, or as specified in the project agreement. Upon termination:

• The Client is responsible for payment of all work completed up to the termination date
• Probfly IT will hand over completed deliverables and revoke access to Client platforms
• Refunds (if any) follow our Refund Policy

13. Limitation of Liability

Probfly IT shall not be liable for any indirect, incidental, or consequential damages arising from our services, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the fees paid by the Client for the specific service during the three (3) months preceding the claim.

14. Acceptable Use of Website

You agree to use probfly.com only for lawful purposes. You must not attempt to gain unauthorized access, upload malicious code, scrape content, or impersonate any person.

15. Governing Law & Disputes

These Terms are governed by the laws of the People’s Republic of Bangladesh. Any dispute shall first be attempted to be resolved through mutual discussion. Unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

16. Changes to These Terms

Probfly IT reserves the right to update these Terms at any time. Updated terms will be posted on this page with a revised “Last updated” date. Continued use of our website or services constitutes acceptance of the revised terms.
